1. Acceptance of Terms

By accessing or using the RideBits Express mobile application and the ridebits.app website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users of the Service, including transportation company administrators, drivers, and clients.

2. Description of Service

RideBits Express is a mobile-first coordination platform that helps transportation companies manage jobs, assignments, dispatch, and communication between administrators, drivers, and clients. RideBits does not provide transportation services directly. All transportation services are provided by independent transportation companies using the platform.

3. Accounts

To use the Service, you must create an account or be invited to join a transportation company's account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information and to update it as necessary. We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

4. User Roles and Responsibilities

Transportation Companies (Administrators)

Administrators are responsible for the accuracy of job information, appropriate driver assignments, and compliance with all applicable transportation laws and regulations in their jurisdiction. You are responsible for ensuring that your drivers are properly licensed, insured, and authorized to provide transportation services.

Drivers

Drivers are responsible for fulfilling assigned jobs safely and professionally, maintaining appropriate licenses and insurance, and communicating relevant updates through the Service.

Clients

Clients are responsible for providing accurate booking information, being available at designated pickup locations and times, and communicating changes promptly through the Service.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Impersonate another person or entity
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to other accounts or systems
• Use the Service to transmit harmful, threatening, abusive, or harassing content
• Use automated tools to scrape, collect, or extract data from the Service
• Resell, redistribute, or sublicense access to the Service without our written consent

6. Intellectual Property

The Service, including its design, code, features, logos, and content, is owned by RideBits and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works from any part of the Service.

7. Your Content

You retain ownership of content you submit through the Service, including job details, messages, and profile information. By submitting content, you grant us a license to store, display, and transmit it as necessary to operate the Service.

You are solely responsible for the content you submit and must not upload content that infringes on the rights of others or violates applicable law.

8. Payments and Billing

RideBits does not process payments between transportation companies and their clients. Any payment arrangements, pricing, or billing are solely between the transportation company and its clients. RideBits is not responsible for any payment disputes.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We make no warranty regarding the quality, accuracy, or reliability of any information obtained through the Service.

RideBits is a coordination platform. We do not guarantee the quality, safety, legality, or timeliness of any transportation services arranged through the platform.

10. Limitation of Liability

To the maximum extent permitted by law, RideBits and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

RideBits is not liable for the actions or omissions of any transportation company, driver, or client using the platform, including but not limited to delays, accidents, property damage, or service quality.

11. Indemnification

You agree to indemnify and hold harmless RideBits from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, and limitations of liability.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in New York County, New York.
